By beginning performance with respect to the attached purchase order issued by Atria Management Company, LLC or any of its affiliates (\"\u003Cu>Atria\u003C\u002Fu>\")\u003C\u002Fb>, Vendor agrees to the following terms and conditions.\u003C\u002Fp>\n\u003Cbr>\n\u003Col class=\"number-list column is-10\" style=\"margin-left: 40px\">\n \t\u003Cli class=\"copy copy--is-font-primary\">\u003Cb>\u003Cu>PRICING AND PAYMENT.\u003C\u002Fb>\u003C\u002Fu>\u003Cbr>\nVendor’s pricing is reflected on the Purchaser Order (including shipping) and may not be increased without Atria’s prior written consent.  Atria shall make payment within sixty (60) calendar days of receipt of Vendor’s invoices.  Atria shall be allowed to deduct three percent (3%) from all such invoices paid by Atria within ten (10) calendar days of receipt.  Atria will have no obligation to pay invoices submitted more the sixty (60) calendar days after delivery of Vendor’s products or completion of Vendor’s services.\u003C\u002Fli>\n\u003Cbr>\n \t\u003Cli class=\"copy copy--is-font-primary\">\u003Cb>\u003Cu>PRODUCTS - DELIVERY, RISK OF LOSS AND PASSAGE OF TITLE.\u003C\u002Fu>\u003C\u002Fb>\n\u003Cp class=\"copy copy--is-font-primary\">\u003Cb>(a)\u003C\u002Fb> Unless otherwise agreed in the Purchase Order, Vendor shall ship all products to the “ship-to” location set forth in the Purchase Order.  Time is of the essence.  Vendor shall be responsible for all damages of any kind incurred by Atria which are caused by a delay of Vendor in meeting delivery schedules. Vendor shall also be responsible for all premium logistics cost resulting from Vendor’s inability to meet delivery schedules, including costs incurred in shipping products to Atria by air carrier or other expediated means; \u003Cb>(b)\u003C\u002Fb> delivery shall not be deemed complete until the products have been actually received by Atria at the “ship-to” location.  Risk of loss and damage in transit shall remain with Vendor until products are received by Atria and in a condition in compliance with the terms of this Agreement. Unauthorized advance shipments and shipments other than for the quantity ordered are returnable at Vendor’s expense; and \u003Cb>(c)\u003C\u002Fb> Title to products shall pass to Atria free from all liens and encumbrances upon completion of delivery.\u003C\u002Fp>\u003C\u002Fli>\n\u003Cbr>\n \t\u003Cli class=\"copy copy--is-font-primary\">\u003Cb>\u003Cu>SERVICES DELIVERY.\u003C\u002Fu>\u003C\u002Fb>\n\u003Cp class=\"copy copy--is-font-primary\">Vendor will complete all services rendered under this Purchase Order to Atria’s reasonable satisfaction within the service delivery schedule set forth in the Purchase Order or, if no such schedule is provided, within a reasonable period of time after the issuance hereof.  All such services shall be provided in a timely and good and workmanlike manner and will be free from defects, and by fully trained and qualified employees or contractors (if approved by Atria) engaged by Vendor.  Any property or other damage caused by Vendor in the delivery of services shall be repaired at Vendor’s expense.\u003C\u002Fli>\u003C\u002Fp>\n\u003Cbr>\n \t\u003Cli class=\"copy copy--is-font-primary\">\u003Cb>\u003Cu>INSURANCE REQUIREMENTS.\u003C\u002Fb>\u003C\u002Fu>\u003Cbr>\n\u003Cp class=\"copy copy--is-font-primary\">Vendor shall maintain the following minimum insurance coverages from licensed insurers: \u003Cb>(a)\u003C\u002Fb> commercial general liability provided on an occurrence basis including coverage for premises-operations, broad form property damage, products\u002Fcompleted operations, contractual liability, independent contractors, personal injury and advertising injury and liability assumed under an insured contract (including coverage for Vendor’s indemnity obligations under this Agreement) with limits of at least $1,000,000 per occurrence and $2,000,000 general aggregate; \u003Cb>(b)\u003C\u002Fb> auto liability insurance of limits of $1,000,000 per occurrence combined single limit coverage for bodily injury (including death) and property damage; \u003Cb>(c)\u003C\u002Fb> cyber incident and crimes coverage with limits of at least $2,000,000 per occurrence; \u003Cb>(d)\u003C\u002Fb> if applicable to any services provided hereunder, errors and omissions coverage with limits of at least $1,000,000 per occurrence; and \u003Cb>(e)\u003C\u002Fb> workers’ compensation coverage in not less than statutory limits.  Atria and its affiliates shall be named as additional insureds on Vendor’s general liability policies.  Vendor shall provide a certificate of insurance indicating the above required coverages to Atria upon request. Certificates provided to Atria shall require that Atria be notified in writing at least thirty (30) calendar days prior to the cancellation, material modification, or material reduction in coverage provided by each applicable policy.  The insurance limits provided hereunder are minimum requirements only and shall not be deemed to limit Vendor’s liability hereunder.\u003C\u002Fli>\u003C\u002Fp>\n\u003Cbr>\n \t\u003Cli class=\"copy copy--is-font-primary\">\u003Cb>\u003Cu>RIGHT TO AUDIT.\u003C\u002Fb>\u003C\u002Fu>\u003Cbr>\n\u003Cp class=\"copy copy--is-font-primary\">Atria shall have the right to audit all work papers, financial data, accounting records, third-party invoices and supporting proofs of performance, and all other records relating to Vendor’s performance under Purchase Orders and this Agreement, and\u002For from which Vendor's invoices are generated.  Vendor agrees that it shall keep full financial records in accordance with generally accepted accounting principles consistently applied and shall retain all applicable records for at least five (5) years from the date of invoicing or longer if required by law. Upon a determination by Atria and\u002For its auditor(s) that financial discrepancies exists, Vendor agrees that it shall: \u003Cb>(a)\u003C\u002Fb> immediately pay such amount to Atria and \u003Cb>(b)\u003C\u002Fb> reimburse Atria for all costs associated with the audit.\u003C\u002Fli>\u003C\u002Fp>\n\u003Cbr>\n\t\u003Cli class=\"copy copy--is-font-primary\">\u003Cb>\u003Cu>INDEMNIFICATION.\u003C\u002Fb>\u003C\u002Fu>\u003Cbr>\n\u003Cp class=\"copy copy--is-font-primary\">Vendor shall timely indemnify and hold harmless Atria and its affiliates (the “\u003Cu>Indemnified Parties\u003C\u002Fu>”) from and against any and all liabilities, claims, costs, expenses (including reasonable attorneys’ fees as and when incurred), damages and judgments arising out of or resulting from: \u003Cb>(a)\u003C\u002Fb> the performance of the services or sale of products governed hereunder caused or contributed to by a negligent or willful act or omission of Vendor or its employees, sub¬contractors, agents or representatives and\u002For \u003Cb>(b)\u003C\u002Fb> the breach by Vendor of its obligations under this Agreement. Vendor’s indemnity obligations hereunder shall specifically survive expiration or termination of this Agreement and\u002For the termination of business between Atria and Vendor. \n\u003C\u002Fli>\u003C\u002Fp>\n\u003Cbr>\n \t\u003Cli class=\"copy copy--is-font-primary\">\u003Cb>\u003Cu>ATRIA'S RIGHT TO TERMINATE THE AGREEMENT.\u003C\u002Fb> \u003C\u002Fu>\n\u003Cp class=\"copy\">Notwithstanding anything to the contrary, Atria may terminate any Purchase Order and\u002For this Agreement with or without cause upon not less than ten (10) calendar days advance written notice to Vendor.\u003C\u002Fli>\u003C\u002Fp>\n\u003Cbr>\n \t\u003Cli class=\"copy copy--is-font-primary\">\u003Cb>\u003Cu>ASSIGNMENT.\u003C\u002Fb>\u003C\u002Fu>\n\u003Cp class=\"copy copy--is-font-primary\">Atria may freely assign this Agreement\nwithout the consent of Vendor. Upon such assignment, Vendor agrees to look solely to the new assignee for performance of any obligations created hereunder. Vendor cannot assign this Agreement without the prior written consent of Atria, which consent may be withheld in Atria’s sole discretion.\u003C\u002Fli>\u003C\u002Fp>\n\u003Cbr>\n \t\u003Cli class=\"copy copy--is-font-primary\">\u003Cb>\u003Cu>OWNERSHIP OF SERVICE DELIVERABLES.\u003C\u002Fb>\u003C\u002Fu>\n\u003Cp class=\"copy copy--is-font-primary\">Vendor recognizes that in the performance of services hereunder, Vendor is acting on behalf of Atria, and Vendor agrees that all deliverable items or other work product (including, but not limited to, any and all inventions) developed as a result of the performance of such services shall be the sole and exclusive property of Atria, without restriction.  Further, to the extent applicable, all such deliverables shall be “works made for hire” under the United States Copyright Act, as amended, and Atria shall own all intellectual property rights therein including, without limitation, all copyright, patent, and trade secret rights, as of the time each is created or developed.  To the extent not deemed works made for hire, Vendor hereby assigns all intellectual property rights in such deliverables to Atria.\u003C\u002Fli>\u003C\u002Fp>\n\u003Cbr>\n \t\u003Cli class=\"copy copy--is-font-primary\">\u003Cb>\u003Cu>REPRESENTATIONS AND WARRANTIES.\u003C\u002Fb>\u003C\u002Fu>\n\u003Cp class=\"copy copy--is-font-primary\">Vendor expressly represents and warrants to Atria that: \u003Cb>(a)\u003C\u002Fb> Vendor’s services shall be provided in a timely and good and workmanlike manner and will be free from defects; \u003Cb>(b)\u003C\u002Fb> Vendor shall comply with all applicable federal, state and local laws in the performance of its obligations hereunder; and \u003Cb>(c)\u003C\u002Fb> any products sold to Atria hereunder: \u003Cb>(i)\u003C\u002Fb> will be new and will conform to Vendor’s and the product manufacturer’s standard written specifications; \u003Cb>(ii)\u003C\u002Fb> will be fit for their intended  uses and purposes; \u003Cb>(iii)\u003C\u002Fb> will be merchantable; \u003Cb>(iv)\u003C\u002Fb> will comply with all applicable laws and regulations; and \u003Cb>(v)\u003C\u002Fb> will not infringe the intellectual property rights of any third-party.  Upon completion of services and\u002For delivery of products, Vendor shall assign and deliver to Atria all third-party warranties, guaranties and other similar undertakings from Vendor’s suppliers, subcontractors and manufacturers which shall be in addition to, and not in lieu of, the warranties provided by Vendor hereunder.\u003C\u002Fli>\u003C\u002Fp>\n\u003Cbr>\n \t\u003Cli class=\"copy copy--is-font-primary\">\u003Cb>\u003Cu>CONFIDENTIALITY.\u003C\u002Fb>\u003C\u002Fu>\u003Cbr>\n\u003Cp class=\"copy copy--is-font-primary\">Vendor agrees that all information relating to Atria’s business including, but not limited to, internal business information; strategic and staffing plans; business strategies; spend rates;  marketing and sales plans and programs; training programs; rate structures; and accounting methods constitute Atria’s “\u003Cu>Confidential Information\u003C\u002Fu>.”  Vendor may not use or appropriate for its own behalf, or disclose or communicate, directly or indirectly, any of the Confidential Information to any third-party without Atria’s prior written consent.  The foregoing obligations of confidentiality do not apply to any information that: \u003Cb>(a)\u003C\u002Fb> is made publicly known without breach hereof by Vendor; \u003Cb>(b)\u003C\u002Fb> is lawfully disclosed to Vendor by a third-party; \u003Cb>(c)\u003C\u002Fb> is produced by Vendor pursuant to legal process (after giving advance written notice thereof to Atria unless otherwise precluded by law); or \u003Cb>(d)\u003C\u002Fb> is developed by Vendor independently of the receipt of Atria’s Confidential Information.\u003C\u002Fli>\u003C\u002Fp>\n\u003Cbr>\n \t\u003Cli class=\"copy copy--is-font-primary\">\u003Cb>\u003Cu>LIABILITY LIMITATIONS.\u003C\u002Fu>\u003C\u002Fb>\u003Cbr>\n\u003Cp class=\"copy copy--is-font-primary\">UNDER NO CIRCUMSTANCES SHALL ATRIA BE LIABLE TO VENDOR FOR SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE OR INCIDENTAL DAMAGES, INCLUDING LOST OR ANTICIPATED PROFITS, ARISING FROM ANY CLAIM RELATING TO ANY PURCHASE ORDER OR THIS AGREEMENT, WHETHER SUCH CLAIMS ARE BASED ON WARRANTY, CONTRACT, TORT OR OTHERWISE, AND REGARDLESS OF WHETHER ATRIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.\u003C\u002Fp>\u003C\u002Fli>\n\u003Cbr>\n \t\u003Cli class=\"copy copy--is-font-primary\">\u003Cb>\u003Cu>INDEPENDENT CONTRACTORS.\u003C\u002Fu>\u003C\u002Fb>\u003Cbr>\n\u003Cp class=\"copy copy--is-font-primary\">Atria and Vendor are for all purposes independent contractors to each other and nothing in this Agreement shall be construed otherwise.\u003C\u002Fp>\u003C\u002Fli>\n\u003Cbr>\n \t\u003Cli class=\"copy copy--is-font-primary\">\u003Cb>\u003Cu>CHOICE OF LAW AND FORUM SELECTION.\u003C\u002Fb>\u003C\u002Fu>\u003Cbr>\n\u003Cp class=\"copy copy--is-font-primary\">This Agreement shall be governed and interpreted under the laws of the Commonwealth of Kentucky, without regard to Kentucky’s conflicts of laws principles.  All claims, disputes, and lawsuits arising out of this Agreement shall be resolved or adjudicated exclusively in the state and federal courts located in Louisville, Jefferson County, Kentucky.
